Combined Company Provides Most Convenient Customer Experience Across Brick and Mortar and Online Channels

Phoenix, AZ, 2017-Apr-19 — /EPR Retail News/ — PetSmart, Inc. (“PetSmart”) today (Apr. 18, 2017) announced it has entered into a definitive agreement to acquire Chewy, Inc. (“Chewy”), the online pet retailer. The acquisition accelerates the execution of PetSmart’s strategy and is a critical milestone in its transformational journey to be the most convenient, best-in-class pet retailer. The combination of PetSmart and Chewy will enhance both companies’ capabilities and reach, offering the widest selection of pet products and services available both in-store and online in North America. The acquisition, which is subject to customary regulatory approvals, is expected to close by the end of PetSmart’s second fiscal quarter of 2017.

Chewy is one of the leading online retailers of pet products and has seen extraordinary growth since it was founded by Ryan Cohen and Michael Day in 2011. Chewy’s position in the growing, underpenetrated online pet retail segment complements PetSmart’s strong footprint in brick and mortar, with over 1,500 stores and 55,000 dedicated associates across North America. In addition to providing a “wow” customer experience, Chewy’s extensive product selection and subscription model have attracted and retained a significant customer base that has contributed to the growth of customer purchasing through online channels.

Upon closing, Chewy will continue to be led by CEO Ryan Cohen and operate largely as an independent subsidiary of PetSmart, focusing on its current business strategy, while PetSmart will continue to execute its strategic initiatives across the combined company. Both companies will use their shared innovative capabilities and offerings in order to deliver the most value and convenience to customers.

Both companies share a common goal to improve the lives of pets and people, dedicating significant time and resources to nonprofit animal welfare organizations. PetSmart Charities is the leader in pet adoptions, having facilitated more than 7 million adoptions since 1994, and the largest funder of animalwelfare in North America. This organization is complementary to Chewy’s philanthropic efforts, including the Chewy.com Rescue and Shelter Network.

Financial advisors to PetSmart on this transaction were Citi and Barclays, with Simpson Thacher & Bartlett LLP acting as its legal advisor. Citigroup Global Markets Inc. and Barclays also provided committed financing for the acquisition. Equity financing is being provided by PetSmart’s existing shareholders. Financial advisor to Chewy on this transaction was Allen & Company, with Weil, Gotshal & Manges LLP acting as its legal advisor.

PetSmart opens new store in Sheridan, Colorado; its 1,500th store in North America

PHOENIX, 2016-Nov-17 — /EPR Retail News/ — PetSmart announced today (Nov. 16, 2016) it has reached a milestone by opening its 1,500th store in its expanding chain across North America. The store opened its doors this week and is located in Sheridan, Colo. The new location is one of approximately 80 new stores the pet specialty retailer is opening in 2016 in new markets as well as in convenient locations in current markets so PetSmart can serve as the trusted partner to pet parents and their pets in every moment of their lives.

The Sheridan store, located in the River Point Shopping Center at 3720 River Point Parkway, features nearly 18,000 square feet of space and is the first store to include a Pinnacle Pet Nutrition section, an expanded collection of pet food products featuring high-protein, natural, grain-free, minimally processed and raw pet food. This pet food type is the fastest growing in the overall pet food category and includes brands such as Only Natural Pet®, a natural pet line that is protein-first, sustainably produced, American-manufactured pet food, as well as a line of supplements and other natural pet solutions. PetSmart acquired one of the largest online and mobile platforms for pet adoption

Phoenix, 2016-Oct-20 — /EPR Retail News/ — PetSmart Inc., the largest pet specialty retailer and leading resource for pet adoption in North America, today ( Oct. 19, 2016) announced it has acquired AllPaws, one of the largest online and mobile platforms that matches those looking to adopt a pet with pets ideally suited for their home, family and lifestyle. Terms of the acquisition were not disclosed.

“Pet adoption is core to our purpose-driven business, and the acquisition of AllPaws offers a smart technology platform to accelerate our in-store adoption program even further,” said Michael Massey, president and chief executive officer for PetSmart. “Our leadership role in pet adoption has led to a record-setting seven million pets adopted from our stores since we started the in-store adoption program in 1994. More than 3,000 current animal welfare partners — plus thousands of additional rescues and shelters — will be able to use AllPaws as a digital hub to promote adoptable pets, which we believe will result in even greater success in finding forever homes for pets across North America.”

Approximately 5,000 animal rescues and shelters across North America directly utilize AllPaws to promote their adoptable pets.

Thousands more animal welfare organizations will be able to use the centralized PetSmart AllPaws platform to create, populate and update detailed profiles for adoptable pets to increase their exposure and chance of being adopted. Prospective pet parents can then use AllPaws to search for pets by various search categories such as breed, age, gender, energy level, training stage, temperament and geo-location in order to find the pet best suited for their home, family and lifestyle requirements.

Ann & Robert H. Lurie Children’s Hospital of Chicago teams up with PetSmart® to ensure the continuation of the hospital’s canine therapy program

Donation Will Fund Hospital Program for Next Five Years, Ensuring Crucial Dog Therapy Access for Patients and Families

CHICAGO, 2015-8-13— /EPR Retail News/ — Ann & Robert H. Lurie Children’s Hospital of Chicago is teaming up with PetSmart® to ensure the continuation of the hospital’s canine therapy program that provides patients with access to canine comfort teams during their hospital stay. PetSmart has committed more than a quarter of a million dollars over five years through its PetSmart Paws for Hope program in support of Lurie Children’s, which provides canine therapy to 1,000 patients and their families each year.

“At PetSmart, we know the healing power of pets, and we have seen firsthand the positive impact they have on people, especially kids,” said Michael Massey, president and chief executive officer for PetSmart. “Canine therapy offers a healthy diversion from the usual hospital routine and an opportunity for pet social interaction, which we know are important components of the healing process. We’re proud to partner with Lurie Children’s on this life-changing program.”

Support from PetSmart will allow Lurie Children’s to continue its canine therapy program for the next five years. Through bedside interactions and visits around the hospital, the program now reaches more than 1,000 patients, siblings and parents at Lurie Children’s each year.

“We are so grateful for this new collaboration with PetSmart,” said Francia Harrington, president and chief development officer of Lurie Children’s Foundation. “More patients and families will experience the joy that comes from a special dog and handler team visit – a comforting distraction during a hospital stay. Known to brighten every hospital room they walk into, our therapy dogs deliver immense emotional and physical benefits to our children.”

This is the ninth PetSmart Paws for Hope partnership of its kind where PetSmart provides funding support to hospital pet therapy programs. Existing partnerships are in place at Phoenix Children’s Hospital; Orlando Health; Rady Children’s Hospital-San Diego; SickKids Hospital Toronto; St. Louis Children’s Hospital; Children’s Health Dallas; Hospital Español Auxilio Mutuo in Puerto Rico; and Seattle Children’s Hospital.

In 2012, PetSmart teamed up with Phoenix Children’s Hospital to sponsor its first animal-assisted therapy program. This initial effort was such a success that PetSmart expanded the program to hospitals throughout North America with the 2014 launch of its formalized give-back program, PetSmart Paws for Hope. The program creates or funds existing pet therapy teams in hospitals, allowing for more daily visits by therapy animal teams for patients and their families.

PetSmart, Inc. names six new leaders to its senior leadership team

PHOENIX, ARIZONA, 2015-4-2 — /EPR Retail News/ — PetSmart, Inc. (“PetSmart” or the “Company”) today named six new leaders to its senior leadership team who, collectively, will be responsible for key growth areas of the Company, including customer experience, merchandise planning, strategy, initiatives, sourcing and real estate.

The additions to the senior leadership team reflect the first major hires by PetSmart’s newly-installed President and CEO, Michael Massey. Attracting top talent to oversee key business areas and divisions has been a top priority for Mr. Massey, and these appointments further the Company’s renewed and refocused commitment to providing the very best products and services to Pet Parents and their pets.

“As we develop our strategic plan to grow the company, we are making significant and impactful investments by adding top talent to the leadership team and creating new structures and processes to help strengthen operations as we move forward,” said Michael Massey, president and CEO of PetSmart. “This seasoned team of proven retail experts will help PetSmart realize our goal of building emotional connections with Pet Parents at all touch points, efficiently delivering everything they need and want, and doing it all at the best value.”

Joining the Company are: Eran Cohen, executive vice president of Customer Experience; Ron Cooperman, executive vice president of Strategy, Initiatives and Real Estate; Ted Passig, executive vice president of Buying and Sourcing; Phil Vostrejs, executive vice president of Merchandise Planning Allocation, Distribution and Supply Chain; and Brian Amkraut, senior vice president of Real Estate.

The Company also announced today that Gregg Scanlon has been promoted to senior vice president of Store Operations and Services and through this promotion has been named to the senior leadership team.

Eran Cohen, EVP of Customer Experience, will oversee all aspects of PetSmart’s customer experience and seek to better engage consumers at every touch point with the company (in-store, online, mobile). He will also refocus the Company’s efforts on digital integration and social interaction to create seamless, positive experiences for all customers. Eran will join PetSmart from Diane Von Furstenberg, a global luxury lifestyle brand, where he oversaw global marketing, e-commerce and public relations – including digital media and strategy. Mr. Cohen also served as chief marketing officer at New York & Co, Inc. and Payless ShoeSource and in senior leadership positions at Gap, Inc. and Esprit de Corp.

Ron Cooperman, EVP Strategy, Initiatives and Real Estate, will oversee the development and execution of the Company’s real estate strategy to support PetSmart’s growth plan. He will lead a new area called retail initiatives, including exploring new formats to engage customers in new markets. He will also oversee the Real Estate area. Mr. Cooperman has worked in various industries including medical devices, quick serve restaurants and financial services. He served in a number of leadership roles at Collective Brands.

Ted Passig, EVP Buying and Sourcing, will lead a redesigned merchant organization as well as a new product development and sourcing organization that will drive efficiency and create a best-in-class direct overseas sourcing operation streamlining the Company’s product cost. A retail veteran with more than 25 years of experience, Mr. Passig is a strategic, results-driven leader who has held several senior roles in buying and stores at The May Department Stores, Homeplace and Payless ShoeSource.

Phil Vostrejs, EVP of Merchandising Planning, Allocation, Distribution and Supply Chain, will oversee a new, streamlined planning, allocation and distribution organization that best supports the Company’s growth plan. With more than 20 years of retail experience, Phil is a seasoned leader with experience in merchandise planning and distribution, and specific expertise in consumer segmentation, strategic planning and execution.

Brian Amkraut, SVP Real Estate, will work alongside Ron Cooperman in designing the Company’s overall real estate strategy to drive growth through market identification and development, store design and format change and increasing the efficiency of store construction. Amkraut is a proven retail leader with experience in retail operations, merchandising, store development and procurement. He joins PetSmart from Payless Holdings after serving in strategy roles for CVS Health and the Boston Consulting Group.

The Company also announced that Phil Bowman (executive vice president of Customer Experience), Matt McAdam (executive vice president of Merchandising and Real Estate), and Eddie Burt (senior vice president of Real Estate) are no longer with PetSmart effective today. In addition, Bruce Thorn (executive vice president of Store Operations, Services and Supply Chain) has decided to leave the Company.

Michael J. Massey was named president and CEO on March 11, 2015 following the completion of PetSmart’s previously announced acquisition by a consortium led by BC Partners and including La Caisse de dépôt et placement du Québec, StepStone and Longview Asset Management.
