AmRest Holdings opens the first Pizza Hut restaurant in the Czech Republic

Wroclaw, Poland, 2017-Sep-06 — /EPR Retail News/ — AmRest Holdings SE („AmRest”) (WSE: EAT), the largest publicly listed restaurant operator in Central Europe, announced an opening of the first Pizza Hut restaurant in the Czech Republic. As a result, the Company expanded its operation in the market, where was already present with KFC, Starbucks and Burger King brands.

A newly-opened restaurant in Palladium Shopping mall in Prague represents Express concept which is a response to current market trends and consumer needs. The store offers the most popular pizzas from Pizza Hut’s menu made of the highest quality ingredients in front of the customer in only 5 minutes.

By 2021, the Company plans to open 70 Pizza Hut restaurants in the Czech market, employing a total of 1,500 people.

AmRest history started in 1993 with the opening of first Pizza Hut restaurant in Wrocław Market Square. Currently, the Company operates 300 restaurants in 6 countries. Besides the Czech Republic, there is also Poland, Hungary, Russia, Germany and France. Starting from October 1st, 2016 the Company as a master-franchisee has the right to granting the license to the third parties to operate Pizza Hut Express and Pizza Hut Delivery restaurants (subfranchise) in Central and Eastern Europe countries.

AmRest becomes Pizza Hut master franchisee for Germany

Wroclaw, Poland, 2017-Mar-31 — /EPR Retail News/ — AmRest Holdings SE („AmRest”, “the Company”) (WSE: EAT), the largest publicly listed restaurant operator in Central Europe, announces signing on March 27th, 2017 the Binding Head of Terms (the “HoT”) with Yum Restaurants International Holding, Ltd (“Yum”) and Pizza Hut Delivery Germany GmbH (“PH Delivery”) aimed at becoming Pizza Hut master franchisee for Germany and acquisition of two Pizza Hut delivery stores in Dusseldorf.

The HoT determines the key terms and conditions on, and subject to which AmRest would become the master-franchisee for 74 restaurants currently operated by multiple subfranchisees in the German market. The Company, as a master-franchisee, would have the right to granting the license to the third parties to operate Pizza Hut restaurants, while ensuring a certain share of restaurants operated directly by itself. Additionally, AmRest would acquire 2 Pizza Hut equity restaurants (“Equity Business”) from PH Delivery. The purchase price for the Equity Business is subject to the results of a due diligence to be carried out by AmRest.

Intention of the HoT parties is to finalize the transaction within next couple of months, which is a subject to conclusion of the agreements required for the acquisition of the Equity Business from PH Delivery (“Purchase Agreements”) as well as certain agreements with Yum: the Master Franchise Agreement (“MFA”) and International Franchise Agreement for each of the equity units. If the Purchase Agreements and the MFA are not signed by May 30th, 2017 the HoT shall terminate immediately, unless otherwise agreed in writing by both parties.

Management Board sees huge room for growth in Germany and is enthusiastic about another transaction aimed at strengthening AmRest presence in that potential market. The Company entered that country in 2012 with opening of La Tagliatella restaurants. The expansion in Germany was continued through acquisition of 144 Starbucks stores in mid- 2016 and the takeover of 15 KFC equity units that was finalized just couple weeks ago.

AmRest Holdings SE to acquire Pizza Hut Delivery business in France from Top Brands NV

 

Wroclaw, Poland, 2017-Jan-26 — /EPR Retail News/ — AmRest Holdings SE („AmRest”, “the Company”) (WSE: EAT), the largest publicly listed restaurant operator in Central Europe, announces signing on January 24th , 2017 a Share Purchase Agreement with Top Brands NV aimed at the acquisition of Pizza Hut Delivery business in France.

On the basis of the agreement AmRest will purchase 100% shares of Pizza Topco France, being the exclusive master franchisee of Pizza Hut Delivery restaurants in the French market. Estimated purchase price is ca. 14 million (approx. PLN 61 million) and will be confirmed at the transaction closing. Intention of the SPA parties is to finalize the transaction within next couple of months, which is a subject to closing conditions, including conclusion of a master franchise agreement with Pizza Hut brand owner – Yum! Restaurant Holdings.

Currently Pizza Topco operates 123 Pizza Hut Delivery restaurants. 7 locations are the equity business, the rest are franchisee managed restaurants.

France is not a new market for AmRest. The Company entered that country while acquiring La Tagliatella business in 2011. Management Board is enthusiastic about the opportunity to significantly strengthen AmRest presence in that potential market.

The expansion plans for France assume development of both the Pizza Hut Delivery and Express concepts.
