Dueñas will be responsible for the end-to-end customer experience including marketing and culinary innovation, digital strategy, consumer insights, guest relations, concept development and overall evolution of the SONIC brand for the long term. He joins the brand with more than two decades of marketing and brand senior leadership in the restaurant and consumer packaged goods industries, most recently leading same-store sales growth and profitability for Olive Garden where he served as executive vice president and chief marketing officer.

In addition to the dividend, the Board of Directors has approved an incremental $160 million share repurchase authorization. Sonic Corp. announces first quarter of fiscal year 2017 results

Key highlights of the company’s first quarter of fiscal year 2017 included:

  • Net income per diluted share increased 17% to $0.28 compared with $0.24 in the same period of the prior year; adjusted net income per diluted share was flat versus the prior-year period at $0.24;
  • System same-store sales declined 2.0%, consisting of a 2.0% same-store sales decrease at franchise drive-ins and 2.4% decrease at company drive-ins;
  • Company drive-in margins declined by 150 basis points;
  • Fourteen new franchise drive-ins opened and 56 drive-ins were refranchised; and

Same-Store Sales

For the first quarter ended November 30, 2016, system same-store sales decreased 2.0%, which was comprised of a 2.0% same-store sales decline at franchise drive-ins and a decline of 2.4% at company drive-ins.

Financial Overview

For the first fiscal quarter of 2017, the company’s net income totaled $13.1 million or $0.28 per diluted share compared to net income of$12.5 million or $0.24 per diluted share in the same period of the prior year. Excluding the items outlined below, net income declined 9% and net income per diluted share was flat.

Sonic Corp. announces preliminary results for its fourth fiscal quarter ended August 31, 2016

OKLAHOMA CITY, 2016-Sep-28 — /EPR Retail News/ — Sonic Corp. (NASDAQ:SONC), the nation’s largest chain of drive-in restaurants, today (Sep 27, 2016) announced preliminary results for its fourth fiscal quarter ended August 31, 2016.

The company estimates that system-wide same-store sales for its fourth fiscal quarter decreased approximately 2.0%. Estimated same-store sales performance reflects a decrease of approximately 3.0% at company drive-ins and a decrease of approximately 1.8% at franchise drive-ins for the fourth fiscal quarter. Additionally, net income per diluted share is anticipated to be $0.51 to $0.53. Adjusted net income per diluted share is estimated to be $0.43 to $0.45 for the fourth fiscal quarter.

“While we delivered a solid overall fiscal 2016 performance with 2.6% system-wide same-store sales growth, the fourth quarter was below our expectations from both a sales and a profit perspective,” said Cliff Hudson, Sonic Corp. CEO. “The shortfall was largely driven by lower-than-expected traffic, reflecting lower consumer spending in restaurants and continued aggressive competitive activity. In the fourth fiscal quarter, 19 new drive-ins were opened. In fiscal 2016, 53 new drive-ins were opened. On a net basis, the brand saw an increase of 31 drive-ins for fiscal 2016, representing a 1% increase in system drive-ins.

Preliminary results remain subject to the completion of normal quarter-end accounting procedures and adjustments and are subject to change. Final results for the fourth fiscal quarter of 2016 as well as the company’s outlook for fiscal year 2017 will be released on October 24, 2016.

Sonic Corp. Board approves continuation of its quarterly cash dividend program

OKLAHOMA CITY, 2016-Aug-09 — /EPR Retail News/ — Sonic Corp. (NASDAQ:SONC), the nation’s largest chain of drive-in restaurants, today announced that its Board of Directors has approved the continuation of the Company’s quarterly cash dividend program. Beginning in the first fiscal quarter of 2017, the Company expects to declare a quarterly dividend of $0.14 per share of common stock, which represents an increase of 27% from the current quarterly dividend of $0.11 per share.

“Our multi-layered growth strategy continues to generate significant cash to drive shareholder value,” said Cliff Hudson, Sonic Corp. CEO. “Over the past three fiscal years, we have returned in excess of $370 million to shareholders through the combination of dividend payments and the repurchase of 13 million shares of our common stock, or approximately 23% of our outstanding shares. We believe the dividend program complements our repurchase program, providing an additional lever to deliver value to shareholders. We remain confident in the strength of the brand and in the ability of our business model to continue to drive strong future returns.”

The Company completed its fiscal 2016 share repurchase program in July, spending $126 million during the fiscal year to repurchase more than 4.4 million shares of its common stock. As previously announced, the Board of Directors has authorized an additional $155 million repurchase program through the end of fiscal 2017. Payment of a dividend of $0.11 per share is set for August 19, 2016 to shareholders of record as of the close of business on August 10, 2016.

Sonic Announces Increase to Share Repurchase Program

OKLAHOMA CITY, 2016-May-20 — /EPR Retail News/ — Sonic Corp. (NASDAQ:SONC), the nation’s largest chain of drive-in restaurants, today announced that certain of its subsidiaries have issued $425 million of Series 2016-1 Class A-2 Fixed Rate Senior Secured Notes (the “2016 Fixed Rate Notes”) in a private securitization transaction. The 2016 Fixed Rate Notes will have an expected life of seven years and bear interest at 4.47% per annum, payable monthly. Guggenheim Securities, LLC acted as sole structuring advisor and active book-running manager for the transaction.

The same Sonic subsidiaries have also entered into a $150 million securitized revolving credit facility of Series 2016-1 Class A-1 Variable Funding Senior Secured Notes (the “2016 Variable Funding Notes” and, together with the 2016 Fixed Rate Notes, the “2016 Notes”). The Company does not currently have any borrowings under the 2016 Variable Funding Notes facility.

The net proceeds from the sale of the 2016 Fixed Rate Notes will be used to repay the approximately $266 million in outstanding Series 2011-1 Class A-2 Fixed Rate Senior Secured Notes and the $67 million in outstanding Series 2011-1 Class A-1 Variable Funding Senior Secured Notes, together with related prepayment premium and transaction costs. The remaining net proceeds will be available for further investment in the business and to return to shareholders via share repurchase or dividends. Including the impact of the transaction, net interest expense is projected to be $26 to $27 million for fiscal year 2016.

The subsidiaries that will issue the 2016 Notes are indirect subsidiaries of Sonic Corp. that own substantially all of the Sonic system’s franchising assets and real estate. The servicing and repayment of the 2016 Notes will be made solely from the cash flows derived from these indirect subsidiaries’ assets. Neither Sonic Corp., the ultimate parent of each of the subsidiaries involved in the securitization, nor any other subsidiary ofSonic Corp., will be liable for any obligations under the 2016 Notes.

The 2016 Notes will not be registered under the Securities Act and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements. This is not an offer to sell or a solicitation of an offer to buy the Senior Notes.

Share Repurchase

Sonic also announced that its board of directors approved an incremental $155 million share repurchase authorization. The new authorization allows for up to $155 million of common stock to be repurchased through August 31, 2017. This is in addition to the over $21 million remaining for repurchase under the prior authorization expiring on August 31, 2016. Share repurchases may be made from time-to-time in the open market or otherwise, including through an accelerated share repurchase program, under the terms of a Rule 10b5-1 plan, in privately negotiated transactions or in round lot or block transactions.

“We are very pleased that we were able to leverage the strength of our business to optimize our capital structure,” said Clifford Hudson, Chairman and Chief Executive Officer. “The increase in our share repurchase authorization and extension of the program through fiscal 2017 enables us to continue to maximize shareholder value. Since fiscal 2013, we have returned over $370 million to shareholders through share repurchases and dividends.

The company continues to expect adjusted earnings per share growth for fiscal 2016 of 20% to 25%. For the fiscal third quarter ended May 31, 2016the company expects system same-store sales growth to be positive, but below the full-year target of 4% to 6% as a result of slower industry traffic and modestly unfavorable weather during the quarter.

(NASDAQ:SONC), the nation’s largest chain of drive-in restaurants, today announced that certain of its subsidiaries intend to complete a financing transaction, which will include prepaying the 2011-1 Senior Secured Fixed Rate Notes (“2011 Notes”) with proceeds from the sale of a new series of securitized debt, as well as refinancing the 2011-1 Variable Funding Senior Secured Notes, Class A-1 (“the 2011 VFN”).

  • The last refinancing occurred in July 2013 with the issuance of $155 million of 2013-1 Senior Secured Fixed Rate Notes (the “2013 Notes”) and the repayment of approximately $155 million of the 2011 Notes.
  • At the end of the second quarter of 2016, there was approximately $268 million in outstanding principal on the 2011 Notes.
  • Sonic’s subsidiaries intend to issue approximately $425 million of new fixed rate notes (the “2016 Notes”) and use part of the proceeds to retire the 2011 Notes.
  • Sonic’s subsidiaries also expect to enter into a new $150 million variable funding note facility, which will replace its existing $100 millionfacility under the 2011 VFN.

The consummation of the offering is subject to market and other conditions and is anticipated to close in the fiscal third quarter of 2016.
