CHESHUNT, England, 2017-Jan-04 — /EPR Retail News/ — In accordance with Listing Rule 9.6.11, Tesco PLC today (3 Jan 2017) announces that Richard Cousins has decided to resign as a Non-Executive Director with immediate effect.

Deanna Oppenheimer will succeed Richard Cousins as Senior Independent Director with immediate effect.

Tesco PLC welcomes Steve Golsby on its Board as independent Non-Executive Director

CHESHUNT, England, 2016-Jul-06 — /EPR Retail News/ — Tesco PLC is pleased to announce that Steve Golsby will join the Board as an additional independent Non-Executive Director with effect from 1 October 2016.

Steve is a Non-Executive Director of Mead Johnson Nutrition, a US listed group which is a leading global infant nutrition company, and was a Non-Executive Director of Beam Inc, a US listed global spirits company, prior to its acquisition by Suntory in 2014. Additionally, Steve is an advisor to Thai Union Group PCL, a global leader in the seafood industry, as well as an advisor to the Thailand Board of Investment. He was previously President and CEO of Mead Johnson Nutrition, and prior to that held senior executive positions with Bristol Myers Squibb and Unilever. Steve has broad international experience, and significant management experience in South East Asia having lived and worked there for many years. In addition to his general management experience, Steve has a strong background in consumer marketing.

Tesco PLC announces that Lindsey Pownall will join the Board as additional independent Non-Executive Director from 1 April 2016

CHESHUNT, England, 2016-Mar-22 — /EPR Retail News/ — Tesco PLC is pleased to announce that Lindsey Pownall will join the Board as an additional independent Non-Executive Director with effect from 1 April 2016. From that date, Lindsey will also join the Corporate Responsibility Committee.

Lindsey Pownall was, until 31 December 2015, Chief Executive of Samworth Brothers, the leading UK supplier of premium quality chilled and ambient foods. Lindsey has significant experience in food, grocery and retail brand development, as well as a wealth of experience in supply leadership and strategic development.

Tesco PLC welcomes Alison Platt and Simon Patterson to its Board as independent Non-Executive Directors

CHESHUNT, England, 2016-Jan-16 — /EPR Retail News/ — Tesco PLC is pleased to announce that Alison Platt and Simon Patterson will join the Board as additional independent Non-Executive Directors with effect from 1 April 2016. In addition, from that date, Alison Platt will join the Remuneration Committee, and Simon Patterson will join the Audit Committee.

Alison Platt is the Chief Executive of Countrywide plc, the UK’s largest property services group, and has a wealth of relevant experience of the property sector and customer service delivery. She also has significant business to business and international commercial experience. Alison was previously Managing Director at Bupa, responsible for International Development Markets, and has held a range of senior posts including Chief Operating Officer of the UK private hospitals business at Bupa and a number of senior positions in British Airways. She is a non-executive director of Cable & Wireless Communications plc, and was previously chair of ‘Opportunity Now’, which seeks to accelerate change for women in the workplace. Alison was also a non-executive director of the Foreign & Commonwealth Office between 2005 and 2010.

Simon Patterson is a Managing Director of Silver Lake Partners, a leading global technology investment firm, having joined the firm in 2005. He is currently a board member of Dell and Intelsat, and previously served on the boards of Skype, MultiPlan and Gerson Lehrman Group. Prior to joining Silver Lake, he was a member of the founding management team of the logistics software company GF-X (acquired by Descartes) and worked in various management roles at the Financial Times. He is a Trustee of the Natural History Museum in London, a Non-Executive Director of N Brown Group plc, and a member of the Advisory Board of the Prince’s Trust. Mr. Patterson holds an M.A. from King’s College, Cambridge University and an M.B.A. from the Stanford University Graduate School of Business, where he was an Arjay Miller Scholar and received the Alexander Robichek Award for Finance.

Tesco PLC reached agreement in principle to settle a class action commenced in New York on behalf of the holders of its ADRs

CHESHUNT, England, 2015-11-26 — /EPR Retail News/ — Tesco PLC today announces that it has reached agreement in principle to settle a class action commenced in New York on behalf of the holders of the Company’s American Depositary Receipts (“ADRs”) (ADRs represent approximately two per cent of the total issued ordinary shares of the Company).

The class action was against the Company and certain of its former directors and alleged breaches of certain U.S. federal securities laws in connection with the overstatement of commercial income which was announced in September 2014.  The settlement agreement, which is subject to confirmation by a federal court in New York, provides for Tesco to pay $12 million to settle the class action with no admission of liability.  This agreement, if confirmed, will settle one of two claims before US courts arising out of the commercial income overstatement.  The other claim is brought in Ohio by the remaining holders of ADRs equivalent to less than 0.2% of the total issued ordinary shares of the Company.
