Board appointments at Dixons Carphone plc

LONDON, 2015-12-16 — /EPR Retail News/ — Dixons Carphone plc (the “Company”) is pleased to announce the appointments of Lord Livingston of Parkhead as Deputy Chairman of the Board and Tony DeNunzio CBE as Senior Independent Director, both appointments are with effect from today. Lord Livingston will chair the Remuneration Committee and become a member of the Nominations Committee. Tony DeNunzio CBE will become a member of the Remuneration and Nominations Committees.

Ian has previously held the position of Chief Executive Officer at BT Group plc from 2008 to 2013, prior to that he was Chief Executive Officer, BT Retail and Group Chief Financial Officer of BT. From 2013 to May 2015, Ian was Minister of State for Trade and Investment and he is currently a Non-Executive Director of Celtic plc and Belmond Ltd. Ian also served as Chief Financial Officer of Dixons Group plc between 1996 and 2002, having served in a number of roles over more than a decade in the company.

Tony was previously President and Chief Executive Officer of Asda/Walmart UK from 2002 to 2005. Tony is Non-Executive Chairman of Pets at Home Group Plc, Non-Executive Director of PrimaPrix SL and Senior Adviser at Kohlberg, Kravis, Roberts & Co L.P. He was previously Non-Executive Director of Alliance Boots GmbH and Chairman of Maxeda Retail Group BV.

There are no matters in connection with these appointments to be disclosed under section 9.6.13 of the Listing Rules of the UK Listing Authority.

The Company also announces that Roger Taylor will stand down as Deputy Chairman of the Board with effect from today. Roger has been Deputy Chairman since July 2013 and prior to this he was Chief Executive Officer of Carphone Warehouse plc. John Gildersleeve also steps down with effect from today. John has been a Non-Executive Director of the Company for 15 years and most recently was Chairman of the Remuneration Committee.

Edinburgh, 2015-12-16 — /EPR Retail News/ — Ediston Real Estate and Europa Capital have acquired a significant office investment at Cathedral Hill, Guildford for a purchase price of approximately £40 million reflecting a net initial yield of 8.05%. 

Buildings 1000 and 2000 Cathedral Hill comprise 120,460 sq. feet of modern office accommodation. Built in 2001, the property is located adjacent to Guildford Business Park and prominently fronts the A3 dual carriageway. The Property is currently let to Avaya on co-terminous leases expiring in August 2016. Sub-tenants within the property include Coutts, RBS and Enstar Group. The property was sold by M&G Real Estate.

NCR Corporation: preliminary results of the “Dutch auction” tender offer

DULUTH, Georgia, 2015-12-16 — /EPR Retail News/ — NCR Corporation (NYSE: NCR) today announced the preliminary results of its modified “Dutch auction” tender offer, which expired at 12:00 midnight, New York City time, on Friday, December 11, 2015. Shareholders of NCR had the opportunity to tender shares of NCR’s common stock pursuant to (i) auction tenders at prices specified by the tendering shareholders of not less than $26.00 per share and not greater than $29.50 per share or (ii) purchase price tenders, which were deemed to have been tendered at the minimum price of $26.00 per share, in either case net to the seller in cash, less any applicable withholding taxes and without interest, upon the terms and subject to the conditions set forth in the Offer to Purchase, dated November 13, 2015, and the related Letter of Transmittal.

Based on the preliminary count by the depositary for the tender offer, a total of approximately 41.2 million shares of NCR’s common stock were validly tendered and not validly withdrawn at or below a purchase price of $26.75 per share, including approximately 21.0 million shares that were tendered through notice of guaranteed delivery.

The tender offer was oversubscribed. In accordance with the terms and conditions of the tender offer, and based on the preliminary count by the depositary for the tender offer, NCR expects to repurchase approximately 37.4 million shares at a purchase price of $26.75 per share on a pro rata basis, except for tenders of odd lots, which will be accepted in full, for a total cost of approximately $1.0 billion, excluding fees and expenses related to the tender offer. As such, NCR has determined that the preliminary proration factor for the tender offer is approximately 90.7%. The shares expected to be repurchased represent approximately 22.0% of NCR’s common stock outstanding as of November 9, 2015.

The number of shares expected to be purchased in the tender offer, the purchase price and the proration factor referred to above are preliminary and subject to change. The preliminary information contained in this press release is based on the assumption that all shares tendered through notice of guaranteed delivery will be delivered within the prescribed three trading day settlement period. The final number of shares to be purchased and the final purchase price will be announced following the expiration of the guaranteed delivery period. Payment for the shares accepted for purchase pursuant to the tender offer, and the return of all other shares tendered and not purchased, will occur promptly thereafter.

USDA’s FSIS: all makers of raw ground beef products required to keep adequate records of the source material

WASHINGTON, 2015-12-16 — /EPR Retail News/ — The U.S. Department of Agriculture’s (USDA) Food Safety and Inspection Service (FSIS) today announced a new measure that will improve the agency’s ability to determine the source of foodborne illnesses linked to ground beef, stopping foodborne illness outbreaks sooner when they occur.  Based on lessons learned from previous outbreak investigations, FSIS is requiring that all makers of raw ground beef products keep adequate records of the source material, so that the agency can quickly work with the suppliers to recall contaminated product.

Outbreak investigations can be hindered when retail stores produce ground beef by mixing product from various sources but fail to keep clear records that would allow investigators to determine which supplier produced the unsafe product. This new requirement complements expedited traceback and traceforward procedures announced in August 2014 that enhance the agency’s ability to quickly and broadly investigate food safety breakdowns in the event of an outbreak connected to ground beef.

“This is a common-sense step that can prevent foodborne illness and increase consumer confidence when they purchase ground beef,” said Deputy Under Secretary for Food Safety Al Almanza. “In the event that unsafe product does make it into commerce, these new procedures will give us the information we need to act much more effectively to keep families across the country safe.”

Under the new final rule, FSIS is amending its recordkeeping regulations to require that all official establishments and retail stores that grind raw beef products maintain the following records: the establishment numbers of establishments supplying material used to prepare each lot of raw ground beef product; all supplier lot numbers and production dates; the names of the supplied materials, including beef components and any materials carried over from one production lot to the next; the date and time each lot of raw ground beef product is produced; and the date and time when grinding equipment and other related food-contact surfaces are cleaned and sanitized. These requirements also apply to raw beef products that are ground at an individual customer’s request when new source materials are used.

“The traceback mechanism provided for in this final rule will facilitate recall efforts that could stop outbreaks and prevent additional foodborne illnesses,” said Deputy Under Secretary for Food Safety Brian Ronholm. “USDA is committed to providing resources and assistance to makers of ground beef to ensure they can be a part of this important and essential new public health measure.”

Retail stores regularly produce raw ground beef for consumer sales by mixing cuts of beef from various sources. A 2011Salmonella outbreak in Maine and parts of the northeastern region of the United States resulted in illnesses that could have been prevented if establishments had kept records of suppliers on file. As a result of this outbreak, on July 22, 2014, FSIS published a proposed rule (79 FR 42464) to require official establishments and retail stores to maintain records of their suppliers and source materials received. After receiving and considering comments, FSIS is announcing this final recordkeeping rule that ensures that public health officials have the ability to quickly search records to identify the exact source of the raw beef products during outbreak investigations.

Over the past six years, USDA has collaborated extensively with other federal partners to safeguard America’s food supply, prevent foodborne illnesses and improve consumers’ knowledge about the food they eat. USDA’s FSIS is working to strengthen federal food safety efforts and develop strategies that emphasize a three-dimensional approach to prevent foodborne illness: prioritizing prevention; strengthening surveillance and enforcement; and improving response and recovery. Other steps taken to improve the safety of ground beef specifically include adopting a zero-tolerance policy for raw beef products containing six additional strains of shiga-toxin producing E. coli, expanding testing procedures for additional components of ground beef, and improving employee training to detect and reduce E. coli O157:H7 contamination on beef carcasses.

Dairy Queen® system opens DQ Grill & Chill restaurant at Hilton Head Island, SC

Hilton Head Island, S.C., 2015-12-16 — /EPR Retail News/ — The Dairy Queen® system is pleased to announce the opening of the Hilton Head Island DQ Grill & Chill® restaurant located at 1018 William Hilton Parkway. This location is the newest Dairy Queen restaurant in a family of more than 6,600 restaurants world-wide committed to offering every fan a place where they can relax and share a great meal and one-of-a-kind soft-serve treats.

The DQ Grill & Chill restaurant can seat 54 guests and also offers a convenient drive-thru window. The Hilton Head Island DQ Grill & Chill restaurant has added more than 40 new jobs, contributing to Hilton Head Island’s employment growth. The new restaurant also will contribute to the state’s restaurant sales which, according to the National Restaurant Association, are projected to increase by 3.6 percent this year.

“We are excited to open our first DQ Grill & Chill restaurant in Hilton Head Island and welcome the community in to enjoy our full menu of cravable food items, signature and innovative treats, our new DQ Bakes! menu and Orange Julius® Premium Fruit Smoothies and Julius® Original drinks,” said restaurant operator Kaylynn Kim.

The Menu

The menu at the Hilton Head Island DQ Grill & Chill restaurant features a range of food options for DQ® Fans, including the DQ system’s value meal, $5 Buck Lunch, which is available daily from 11 a.m. to 4 p.m. at this location. Fans have a choice of two Crispy Chicken Wraps, a Deluxe Cheeseburger or 3-piece Chicken Strip Lunch, which are all served with fries, a beverage and choice of a sundae. For just $1 more, fans also will have the option to upgrade their small sundae to a small Blizzard® Treat.

The Hilton Head Island DQ Grill & Chill restaurant also serves the new DQ Bakes! menu, which includes nine hot-from-the-oven and made-to-order items across all three categories that will surprise and delight fans, such as Hot Desserts à la Mode, Artisan-Style Sandwiches and Snack Melts.

Hot Desserts a La Mode combine hot and cold for a satisfying treat:

• Triple Chocolate Brownie: A warm, chocolate brownie made with a blend of milk, semi-sweet and bittersweet chocolate, drizzled with Cocoa Fudge™ and choco chunks, served hot from the oven with cold, creamy DQ vanilla soft serve.
• Apple Tart: A flaky dessert crust topped with Granny Smith apples, rolled oats, butter and brown sugar, and drizzled with caramel, served hot from the oven with cold, creamy DQ vanilla soft serve.
• Fudge Stuffed Chocolate Chip Cookie: A warm, decadent chocolate chip cookie made with semi-sweet chocolate chips, a dark fudge center and drizzled with Cocoa Fudge, served hot from the oven with cold, creamy DQ vanilla soft serve.

The Artisan-style Sandwiches are served hot using both ciabatta and basil-cheese focaccia breads:
