Walgreens Boots Alliance to sell 865 Rite Aid stores to Fred’s, Inc. for $950 million

Deerfield, Ill., and Camp Hill, Pa., 2016-Dec-21 — /EPR Retail News/ — Walgreens Boots Alliance, Inc. (Nasdaq: WBA) and Rite Aid Corporation (NYSE: RAD) announced today (20 December 2016 ) they have entered into an agreement to sell 865 Rite Aid stores and certain assets related to store operations to Fred’s, Inc. (Nasdaq: FRED) for $950 million in an all-cash transaction. The transaction is subject to Federal Trade Commission (FTC) approval, the approval and completion of the pending acquisition of Rite Aid by Walgreens Boots Alliance, and other customary closing conditions.

The agreement is being entered into to respond to concerns identified by the FTC in its review of the proposed acquisition of Rite Aid by Walgreens Boots Alliance, which was announced in October 2015. Walgreens Boots Alliance is actively engaged in discussions with the FTC regarding the transaction and is working toward a close of the Rite Aid acquisition in early calendar 2017.

The proposed divestiture transaction, if approved, would establish Fred’s Pharmacy as one of the largest drugstore chains in the United States with significant presence in areas such as the South and on the East and West Coasts. Specific locations of the stores to be divested will be announced upon FTC approval of the Walgreens Boots Alliance and Rite Aid merger.

Under the terms of the purchase agreement, Fred’s Pharmacy would acquire 865 Rite Aid stores and certain assets related to store operations, and expects to continue to employ all store associates and certain field and regional associates related to the operations of the acquired stores upon completion of the divestiture. Fred’s Pharmacy would continue to operate the acquired stores under the Rite Aid banner during a transition period. If the FTC requires divestiture of more than the 865 Rite Aid stores currently contemplated by the purchase agreement and Walgreens Boots Alliance agrees to sell such stores, the purchase agreement requires Fred’s to purchase such additional stores.

Walgreens Boots Alliance continues to expect that it will realize synergies from the acquisition of Rite Aid in excess of $1 billion, to be fully realized within three to four years of closing of the merger. These synergies, as previously disclosed, are expected to be derived primarily from procurement, cost savings and other operational matters.

New World Hutt City re-opens just in time for Christmas

For the last few days the New World team has been running a pop-up supermarket in the car park to ensure that customers could stock up on essentials at this busy time. “It was such an innovative way to keep our customers happy and the store staff busy,” says Chris Quin, CEO Foodstuffs North Island. “It took some doing, but it’s a model we could now run elsewhere should we need to – fingers crossed we don’t!”

The pop-up closed for good at 8 pm on Monday 19 December and the New World Hutt City store re-opens for business as usual from 1 pm, Tuesday 20 December – in plenty of time for locals to get sorted for Christmas.

“We know there are other businesses still affected by the demolition and we absolutely feel for them – it has really impacted our team and customers. We’re thankful for the support we’ve had from Council who have worked collaboratively with us.  If there is any way we can help other people in the same boat – we’re happy to,” says Steve.

PetSmart brings back National Fetch It Day on Dec. 23; buy online and fetch purchases through in-store pickup service

Last-minute shopping tends to be the norm for holiday pet gifts, and so, in response and to support down-to-the-wire shoppers, National Fetch It Day was created by PetSmart to assure gifts are placed under the tree for pets and pet lovers in time for Christmas.

To celebrate, all day Dec. 23, PetSmart will offer up to 20 percent off shoppers’ entire online purchase* when they select the in-store pickup option. Shoppers can pick up their items during store hours that day, or on Dec. 24, giving them time to wrap and place the gifts under the tree for their four-legged friends. PHOENIX, 2016-Dec-21 — /EPR Retail News/ — As the online shopping window is closing for traditional home delivery, PetSmart announced today (Dec. 19, 2016) it is offering FREE Same-Day delivery service for all PetSmart.com online purchases to homes in the New York City and Yonkers metro areas. The Same-Day service is offered through the pet specialty retailer’s collaboration partner, Deliv, and is available in 15 additional metro areas across the nation, totaling nearly 2,500 ZIP codes.

We aim to make shopping hassle-free for pet parents. Even the eleventh-hour shoppers are covered because orders placed on Christmas Eve before 2 p.m. can arrive later that same day* just in time for gift openings.”

In addition to the local metro areas in New York City and Yonkers, PetSmart.com’s Same-Day delivery service with Deliv is also available in Los Angeles, Orange County, San Francisco, San Jose, Las Vegas, Atlanta, Miami, Seattle, Chicago, Dallas, Houston, Philadelphia, Boston, Northern New Jersey and Washington, D.C.
