The Company plans to open the first restaurant before the end of 2017.

Entry into the new market is a continuation of strengthening AmRest leadership position in CE region.

AmRest to become Restaurant Partner Polska’s majority shareholder

Wroclaw, Poland, 2017-Apr-04 — /EPR Retail News/ — April 1st, 2017, AmRest Holdings SE („AmRest”, “the Company”) (WSE: EAT), the largest publicly listed restaurant operator in Central Europe, announces signing on March 31st, 2017 the Investment Agreement (the “IA”) with Delivery Hero GmbH, based in Berlin, Germany (“Delivery Hero”) and Restaurant Partner Polska Sp. z o.o., based in Łódź, Poland („RPP”). As a result of the, IA AmRest will acquire from Delivery Hero the newly issued shares in RPP and become its majority shareholder, holding 51% of total number of RPP shares. The outstanding 49% will remain in the possession of Delivery Hero,

Delivery Hero is the global leader in online food-ordering segment with more than 20 million orders processed monthly. RPP operates PizzaPortal.pl platform in Poland – an aggregator offering meals from 2,500+ different restaurants in ca. 400 cities in Poland. Convenient 3- step ordering process, wide selection of cuisines, online payment and quick delivery are key advantages for the PizzaPortal.pl users.

According to the IA, AmRest also intends to start partnerships within food-ordering marketplace through Delivery Hero’s subsidiaries in Czech Republic and Hungary – DameJidlo.cz and NetPincér.hu. Both platforms are the market leaders in online food ordering industry.

Intention of the parties is to finalize the transaction within next couple of weeks, which is a subject to condition precedents defined in IA.

Online food ordering is one of the fastest growing trends in restaurant industry. The importance and impact of new technologies in consumer foodservice sector is expected to gain ground. Following that trend, investment in Digital and food-ordering marketplace has become one of AmRest’s strategic priorities for the nearest future. The cooperation with Delivery Hero is expected to be advantageous for both parties and – most importantly – aimed at fulfilling the consumers’ expectations. The parties mutually agree that combination of AmRest’s operational excellence and unique brand portfolio with Delivery Hero’s broad expertise in online food ordering segment will significantly elevate customer’s experience. Superior quality of meals, best in class customer service and fast delivery will be the key success factors behind the partnership.

The Management Board of AmRest believes that the partnership with Delivery Hero will make the offer of Company’s operated brands more accessible to new customers and substantially increase AmRest’s market share in delivery segment.

AmRest becomes Pizza Hut master franchisee for Germany

Wroclaw, Poland, 2017-Mar-31 — /EPR Retail News/ — AmRest Holdings SE („AmRest”, “the Company”) (WSE: EAT), the largest publicly listed restaurant operator in Central Europe, announces signing on March 27th, 2017 the Binding Head of Terms (the “HoT”) with Yum Restaurants International Holding, Ltd (“Yum”) and Pizza Hut Delivery Germany GmbH (“PH Delivery”) aimed at becoming Pizza Hut master franchisee for Germany and acquisition of two Pizza Hut delivery stores in Dusseldorf.

The HoT determines the key terms and conditions on, and subject to which AmRest would become the master-franchisee for 74 restaurants currently operated by multiple subfranchisees in the German market. The Company, as a master-franchisee, would have the right to granting the license to the third parties to operate Pizza Hut restaurants, while ensuring a certain share of restaurants operated directly by itself. Additionally, AmRest would acquire 2 Pizza Hut equity restaurants (“Equity Business”) from PH Delivery. The purchase price for the Equity Business is subject to the results of a due diligence to be carried out by AmRest.

Intention of the HoT parties is to finalize the transaction within next couple of months, which is a subject to conclusion of the agreements required for the acquisition of the Equity Business from PH Delivery (“Purchase Agreements”) as well as certain agreements with Yum: the Master Franchise Agreement (“MFA”) and International Franchise Agreement for each of the equity units. If the Purchase Agreements and the MFA are not signed by May 30th, 2017 the HoT shall terminate immediately, unless otherwise agreed in writing by both parties.

Management Board sees huge room for growth in Germany and is enthusiastic about another transaction aimed at strengthening AmRest presence in that potential market. The Company entered that country in 2012 with opening of La Tagliatella restaurants. The expansion in Germany was continued through acquisition of 144 Starbucks stores in mid- 2016 and the takeover of 15 KFC equity units that was finalized just couple weeks ago.

The milestone location was opened on October 27th, 2016 in Sankt Petersburg, Russia. The restaurant is located in northern part of the city, near to popular subway station Grazhdanskaya. This is 64th KFC restaurant operated by AmRest in Sankt Petersburg and 114 th in Russia.

New KFC location was enthusiastically welcomed by local community. This 270 sqm restaurant offers over 50 seats and ‘Express Window’ service which operates 24 hours a day.

– This is another important milestone which has been reached by AmRest this year. Thanks to the accelerated organic growth we are closer to achieving the ambitious goal of 140 openings in 2016. Our guests welcome every new location with great enthusiasm. They appreciate the quality and taste of our meals as well as exceptional service. Acquisition of mentioned Starbucks chain is a perfect fit to AmRest strategy and another step forward on the way to become the leader of restaurant segment in Europe. After the addition of Starbucks business in Germany AmRest operates currently 1074 restaurants in 12 countries.

Opening of Starbucks Fashion Arena in Prague on 16th October, 2015 marked an important milestone of reaching 100 Starbucks coffee shops in AmRest portfolio. Company continues the strategy of dynamic development of this brand in Central Europe, bringing the best coffee experience to its Customers. History of Starbucks presence in this region reaches back to 2008, when the first Starbucks coffee shop was introduced to the Czech market, in Lesser Town Square, Prague under a joint venture agreement with Starbucks Coffee International. With the recent opening, AmRest now operates 24 Starbucks locations in the Czech Republic.

Henry McGovern to step down as Chairman of the Supervisory Board of AmRest

Wrocław, Poland, 2015-9-11 — /EPR Retail News/ — AmRest Holdings SE („AmRest”, “Company”) (WSE: EAT), the largest publicly listed restaurant operator in Central Europe, informs about receiving from Mr. Henry McGovern a letter of resignation from the function of the Chairman of the Supervisory Board of AmRest, effective 10th September 2015.

Mentioned decision was taken in the face of recent changes in shareholding structure of AmRest as well as the composition of the Supervisory Board. The resignation is intended to allow the members of the Supervisory Board to elect the Chairman of their choice, given the upcoming General Meeting on 21st September 2015.

Despite the resignation from the function of the Chairman, Mr. McGovern remains the member of the Supervisory Board of AmRest. Mr. McGovern declared his long-term commitment to the Company and expressed his readiness to actively support the business development.
